Recommended Cash Acquisition of Baggeridge Brick PLC
On 16 April 2007, the Board of Wienerberger AG (Vienna, Austria) noted the recent purchases by Michelmersh Brick Holdings PLC of Baggeridge Brick PLC shares and announced that it would be electing to implement its Proposal by way of a takeover offer rather than a Scheme of Arrangement, in accordance with Appendix 1, Part C of the announcement of the Recommended Cash Acquisition of Baggeridge dated 17 August 2006.
Wienerberger said that Terms used but not defined in this announcement would have the meanings given to them in the announcement of the original Proposal dated 17 August 2006.
On the following day, the Board of Wienerberger announced that the acceptance condition of the Offer for Baggeridge Brick PLC had to be in respect of more than 50% of the nominal value of the Baggeridge shares.
